These Terms & Conditions (“Terms,” “Agreement,” or “Terms and Conditions”) govern your purchase of and access to educational products and services offered by Structured Market Academy (“Structured Market Academy,” “Company,” “we,” “us,” or “our”).

By purchasing, accessing, or using the Structured Market Academy course, website, course materials, or related services, you (“Customer,” “you,” or “your”) acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you should not purchase or access the course.

1. THE COURSE

Structured Market Academy provides educational content relating to financial markets and trading, including concepts, strategies, techniques, market structure, risk management, technical analysis, educational examples, and related topics.

The course is intended solely for educational and informational purposes.

The course does not constitute personalized financial, investment, legal, accounting, or tax advice.

The course is not intended to create an investment-adviser, broker, fiduciary, financial-planner, or other professional-client relationship between you and Structured Market Academy.

You are solely responsible for evaluating the information provided through the course and determining whether and how any information may be applicable to your individual circumstances.

2. NO GUARANTEE OF RESULTS

Structured Market Academy makes no representation, warranty, or guarantee regarding any particular trading results, profits, income, returns, performance, or financial outcome.

Your results will depend on numerous factors, including but not limited to your experience, knowledge, financial circumstances, discipline, risk tolerance, trading decisions, market conditions, capital, execution, fees, taxes, and other factors outside the control of Structured Market Academy.

Past performance, examples, hypothetical trades, historical market analysis, or results described by Structured Market Academy or any third party are not guarantees or promises of future results.

You acknowledge that no trading strategy can eliminate the risk of financial loss.

3. TRADING AND INVESTMENT RISK

Trading financial markets involves substantial risk and may result in the loss of some or all of your trading capital.

You should never trade with money you cannot afford to lose.

Nothing contained in the course should be interpreted as a recommendation that you purchase, sell, hold, short, or otherwise transact in any particular security, financial instrument, cryptocurrency, commodity, currency, derivative, or other investment.

Structured Market Academy does not know your individual financial circumstances, objectives, risk tolerance, financial obligations, tax situation, or investment needs.

You are solely responsible for your own trading and investment decisions.

You should consult an appropriately licensed financial professional, tax professional, or other qualified professional regarding your individual circumstances when appropriate.

4. NO PERSONALIZED INVESTMENT ADVICE

The current Structured Market Academy course provides general educational information.

Unless expressly stated otherwise in a separate written agreement, Structured Market Academy does not provide individualized investment advice or personalized recommendations concerning your particular portfolio, account, financial situation, or investment objectives.

Nothing in the course should be interpreted as creating a fiduciary relationship between you and Structured Market Academy.

Structured Market Academy does not act as your broker, dealer, investment adviser, financial planner, or other financial professional merely because you purchase or use the course.

Any future service involving individualized investment advice, trading signals, specific securities recommendations, managed accounts, or similar services may be subject to separate terms, agreements, disclosures, and regulatory requirements.

5. ELIGIBILITY

You must be at least 18 years old to purchase or access Structured Market Academy.

By purchasing or accessing the course, you represent and warrant that:

  1. you are at least 18 years old;

  2. you have the legal capacity to enter into this Agreement;

  3. the information you provide to Structured Market Academy is accurate and complete;

  4. you are purchasing the course for lawful purposes; and

  5. your use of the course does not violate any applicable law or regulation.

Structured Market Academy reserves the right to refuse or terminate access to anyone who does not satisfy these requirements.

6. PURCHASE AND PAYMENT

The course is currently offered as a one-time purchase unless otherwise expressly stated at the time of purchase.

The price displayed at checkout is the price applicable to your purchase, together with any applicable taxes or fees disclosed during checkout.

By submitting payment, you authorize the applicable payment processor to charge your selected payment method for the amount presented at checkout.

Structured Market Academy reserves the right to change course pricing, promotional pricing, bonuses, or other purchase terms for future customers.

A change in pricing does not entitle a previous purchaser to a refund, price adjustment, credit, or reimbursement.

7. NO REFUNDS — ALL SALES FINAL

ALL SALES ARE FINAL.

STRUCTURED MARKET ACADEMY DOES NOT OFFER REFUNDS, CREDITS, TRANSFERS, OR EXCHANGES FOR COURSE PURCHASES, except where a refund or other remedy is required by applicable law.

By completing your purchase, you acknowledge that you have reviewed and accepted this No-Refund Policy before payment.

You understand that you are purchasing access to digital educational content and that access may be provided immediately following purchase.

A customer's failure to use, complete, watch, or participate in the course does not create a right to a refund.

This includes, without limitation:

  • failure to watch course materials;

  • failure to complete lessons;

  • lack of available time;

  • change in personal circumstances;

  • change in financial circumstances;

  • dissatisfaction with the course;

  • disagreement with course content;

  • failure to achieve desired trading results;

  • failure to make money;

  • trading losses;

  • a decision not to continue using the course; or

  • the customer's decision that the course is not suitable for them after purchase.

Nothing in this section is intended to waive, restrict, or eliminate any consumer right, refund right, cancellation right, or other legal right that cannot lawfully be waived under applicable law.

8. LIFETIME COURSE ACCESS

Customers who purchase the applicable Structured Market Academy course are granted lifetime access to that course, subject to these Terms.

For purposes of this Agreement, “lifetime access” means access for the duration of the period during which Structured Market Academy continues to offer and maintain the applicable course.

Lifetime access does not mean that Structured Market Academy guarantees that the course, website, course platform, community, or related services will exist or remain available forever.

Structured Market Academy reserves the right, in its discretion, to modify, update, replace, restructure, suspend, or discontinue the course or any portion of the course.

If Structured Market Academy permanently discontinues the course, the customer's lifetime access will end when the course is discontinued.

To the maximum extent permitted by applicable law, discontinuation of the course does not create a right to a refund solely because the course has been discontinued.

Structured Market Academy may also suspend or terminate a customer's access if the customer violates these Terms.

9. LIFETIME ACCESS DOES NOT INCLUDE FUTURE PRODUCTS

Your purchase of the Structured Market Academy course provides access only to the specific course purchased.

Unless expressly stated otherwise, your purchase does not automatically include:

  • future courses;

  • future versions of other courses;

  • private coaching;

  • mentorship;

  • subscriptions;

  • trading signals;

  • individualized investment advice;

  • managed accounts;

  • live trading rooms;

  • private communities;

  • future events;

  • one-on-one consultations;

  • additional products or services; or

  • products or services offered by Structured Market Academy in the future.

Structured Market Academy may offer such products or services separately and may establish separate pricing and terms for them.

10. COURSE PLATFORM AND THIRD-PARTY SERVICES

Course content may be hosted, delivered, or processed through third-party platforms, including Systeme.io and other service providers used by Structured Market Academy.

Your use of a third-party platform may also be subject to that platform's own terms, policies, and privacy practices.

Structured Market Academy is not responsible for interruptions, outages, technical failures, changes, or limitations caused solely by a third-party platform or service provider, except to the extent otherwise required by applicable law.

Structured Market Academy will make commercially reasonable efforts to maintain access to purchased course materials but does not guarantee uninterrupted or error-free access.

11. PERSONAL ACCOUNT AND ACCOUNT SECURITY

Course access is personal to the purchaser.

You may not:

  • share your login credentials;

  • permit another person to use your account;

  • sell, transfer, sublicense, or assign your account;

  • provide course access to another person;

  • publish your login credentials;

  • circumvent access controls; or

  • otherwise allow unauthorized persons to access the course.

You are responsible for maintaining the confidentiality of your account credentials.

If you believe your account has been compromised or accessed without authorization, you must promptly notify Structured Market Academy.

Structured Market Academy may suspend or terminate accounts involved in unauthorized access or account sharing.

12. INTELLECTUAL PROPERTY

All course materials provided by Structured Market Academy, including but not limited to:

  • videos;

  • audio;

  • written materials;

  • presentations;

  • graphics;

  • diagrams;

  • charts;

  • worksheets;

  • templates;

  • trading concepts;

  • educational frameworks;

  • text;

  • logos;

  • branding;

  • website content;

  • recordings;

  • downloadable materials; and

  • other original materials

are owned by Structured Market Academy or used under applicable rights and are protected by applicable intellectual-property laws.

Your purchase grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the course materials for your own personal educational purposes.

Your purchase does not transfer ownership of any intellectual property to you.

You may not, without prior written authorization:

  • copy substantial portions of the course;

  • reproduce course materials;

  • redistribute course materials;

  • resell course materials;

  • upload course materials to another website or platform;

  • publish course materials publicly;

  • create a competing product using substantial portions of the course;

  • record and redistribute course sessions;

  • share downloadable materials with others;

  • remove copyright or ownership notices; or

  • commercially exploit the course materials.

Nothing in this Agreement prevents you from using general knowledge, skills, ideas, or concepts that you independently learn through lawful participation in the course.

13. PROHIBITION ON COURSE PIRACY AND UNAUTHORIZED DISTRIBUTION

Unauthorized reproduction or distribution of course materials may cause substantial harm to Structured Market Academy.

If Structured Market Academy reasonably determines that you have intentionally distributed, sold, shared, copied, or otherwise unlawfully exploited course materials, Structured Market Academy may immediately suspend or terminate your access without refund, in addition to pursuing any other remedies available under applicable law.

Structured Market Academy reserves all rights and remedies available under applicable law.

14. EDUCATIONAL EXAMPLES AND HYPOTHETICAL RESULTS

The course may contain examples involving hypothetical trades, historical market situations, simulated results, charts, backtesting, educational scenarios, or other illustrative examples.

Such examples are provided for educational purposes only.

Hypothetical or simulated results may differ materially from actual trading results because actual trading involves factors that may not be fully reflected in educational examples, including execution, commissions, spreads, liquidity, slippage, market conditions, and emotional factors.

You should not assume that any example represents results that you will achieve.

15. NO GUARANTEE OF ACCURACY OR COMPLETENESS

Structured Market Academy attempts to provide useful and accurate educational information but does not warrant that all information will always be current, complete, accurate, or error-free.

Financial markets change rapidly.

Information that may have been accurate when originally presented may subsequently become outdated.

You are responsible for independently evaluating information before relying upon it.

Nothing in these Terms creates a guarantee that course information will produce any particular outcome.

16. CUSTOMER RESPONSIBILITY

You acknowledge and agree that you are solely responsible for:

  • your financial decisions;

  • your trading decisions;

  • your trading account;

  • your risk management;

  • your use of leverage;

  • your selection of financial instruments;

  • your compliance with applicable laws;

  • your tax obligations;

  • your trading strategy;

  • your gains and losses; and

  • determining whether trading is appropriate for you.

Structured Market Academy will not make these decisions for you.

17. PROHIBITED USES

You agree not to use Structured Market Academy's website, course, or materials:

  1. for unlawful purposes;

  2. to violate applicable laws or regulations;

  3. to infringe another person's intellectual-property rights;

  4. to gain unauthorized access to systems or accounts;

  5. to distribute malicious software;

  6. to impersonate another person;

  7. to interfere with the operation of the course platform;

  8. to harass or threaten Structured Market Academy personnel or other students;

  9. to distribute unauthorized copies of course materials; or

  10. for any purpose prohibited by these Terms.

18. TERMINATION AND SUSPENSION

Structured Market Academy may suspend or terminate your access if you materially violate these Terms.

Where appropriate, Structured Market Academy may provide notice and an opportunity to cure a violation. However, Structured Market Academy may immediately suspend or terminate access when reasonably necessary to protect the Company, its intellectual property, other customers, its systems, or its community.

Examples include unauthorized account sharing, piracy, fraud, harassment, payment fraud, or intentional circumvention of security measures.

If your access is terminated because of your violation of these Terms, you are not entitled to a refund.

Sections that by their nature should survive termination—including intellectual-property provisions, disclaimers, limitations of liability, indemnification, dispute provisions, and payment obligations—will survive termination.

19. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Structured Market Academy and its owners, officers, employees, contractors, affiliates, agents, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of or inability to use the course.

This includes, without limitation, losses arising from:

  • trading losses;

  • lost profits;

  • lost income;

  • lost business opportunities;

  • investment losses;

  • loss of data;

  • reliance on educational information;

  • technical interruptions;

  • third-party platform failures; or

  • your decisions to enter or exit any trade or investment.

To the maximum extent permitted by applicable law, the aggregate liability of Structured Market Academy arising out of or relating to the course or these Terms will not exceed the amount you actually paid to Structured Market Academy for the specific course giving rise to the claim.

Nothing in this section is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

20. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Structured Market Academy and its owners, officers, employees, contractors, affiliates, agents, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:

  1. your material violation of these Terms;

  2. your unlawful use of the course;

  3. your unauthorized distribution of course materials;

  4. your violation of another person's rights; or

  5. your conduct in connection with the course.

This provision does not require you to indemnify Structured Market Academy for losses caused by Structured Market Academy's own conduct to the extent prohibited by applicable law.

21. DISPUTE RESOLUTION

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve any dispute informally.

A customer who believes they have a dispute with Structured Market Academy should first provide written notice describing:

  • the nature of the dispute;

  • the relevant facts;

  • the requested resolution; and

  • the customer's contact information.

The parties will have a reasonable opportunity to attempt to resolve the dispute informally.

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief where permitted by law, including relief relating to unauthorized use or distribution of intellectual property.

22. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles, except to the extent that applicable federal law or mandatory laws applicable to a particular customer cannot legally be excluded.

For customers located outside Georgia or outside the United States, mandatory consumer protections that apply to those customers may apply notwithstanding this governing-law provision.

23. INTERNATIONAL CUSTOMERS

Structured Market Academy may make its course available to customers located outside the United States.

International customers are responsible for determining whether purchasing and accessing the course is lawful in their jurisdiction.

International customers are also responsible for any taxes, duties, currency-conversion costs, or other obligations imposed by their jurisdiction, except where applicable law requires Structured Market Academy or its payment provider to collect such amounts.

Nothing in these Terms is intended to deprive an international customer of mandatory legal rights that cannot lawfully be waived.

Structured Market Academy reserves the right to refuse or restrict purchases from particular jurisdictions where it reasonably determines that doing so is necessary for legal, regulatory, payment-processing, or operational reasons.

24. TAXES

Unless otherwise stated, you are responsible for any taxes or governmental charges applicable to your purchase, except for taxes that Structured Market Academy is legally required to collect and remit.

You are also responsible for complying with any tax obligations arising from your trading activities.

Structured Market Academy does not provide tax advice.

25. THIRD-PARTY LINKS AND SERVICES

The course or website may contain links to third-party websites, platforms, brokers, software, tools, educational resources, or other services.

Such links are provided for convenience or educational purposes.

Structured Market Academy does not control and is not responsible for the content, availability, policies, security, performance, or practices of third-party services.

Your use of a third-party service is subject to that third party's own terms and policies.

The inclusion of a third-party link does not constitute an endorsement or recommendation.

26. PRIVACY

Your purchase and use of Structured Market Academy may involve the collection and processing of personal information.

Your personal information will be handled in accordance with the applicable Structured Market Academy Privacy Policy, which should be provided separately.

The Privacy Policy may address information collected through the website, checkout process, course platform, email communications, analytics, payment processing, and other services.

27. ELECTRONIC COMMUNICATIONS AND AGREEMENT

You agree that Structured Market Academy may communicate with you electronically, including through email, the course platform, or other electronic methods.

You agree that electronic notices, disclosures, agreements, acknowledgments, and records may satisfy legal requirements that such communications be in writing to the extent permitted by applicable law.

By clicking an acceptance button, checking a box, completing a purchase, creating an account, or otherwise accessing the course after being presented with these Terms, you may be deemed to have accepted these Terms to the extent permitted by applicable law.

28. MODIFICATIONS TO THESE TERMS

Structured Market Academy may update or modify these Terms from time to time.

Updated Terms will become effective when posted or on another date specified in the updated Terms.

Material changes may be communicated through reasonable means where appropriate.

Your continued use of the course after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

Changes to these Terms will not retroactively alter rights that have already accrued where prohibited by law.

29. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

The invalid or unenforceable provision will be modified or interpreted to the minimum extent necessary to make it enforceable while preserving its intended purpose, where legally permitted.

30. WAIVER

A failure by Structured Market Academy to enforce any provision of these Terms does not constitute a waiver of the Company's right to enforce that provision or any other provision in the future.

31. ASSIGNMENT

You may not assign, transfer, or otherwise delegate your rights or obligations under these Terms without prior written consent from Structured Market Academy.

Structured Market Academy may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, restructuring, or other business transaction, subject to applicable law.

32. ENTIRE AGREEMENT

These Terms, together with any applicable purchase terms, Privacy Policy, and other documents expressly incorporated by reference, constitute the entire agreement between you and Structured Market Academy regarding your purchase and use of the applicable course.

These Terms supersede prior or contemporaneous understandings concerning the same subject matter to the extent permitted by applicable law.

33. NO WAIVER OF NON-WAIVABLE RIGHTS

Nothing in these Terms is intended to waive, restrict, or eliminate any right or remedy that cannot lawfully be waived under applicable federal, state, or local law.

If a provision of these Terms conflicts with a mandatory legal requirement applicable to a particular transaction or customer, the mandatory legal requirement will control to the extent of the conflict.

  • your access may be terminated for material violations of these Terms; and

  • future products or services offered by Structured Market Academy are not automatically included with your purchase.
